These WeWork Text Message Programme Terms & Conditions (‘Terms’) apply to your participation in the WeWork Companies LLC, including its affiliates and subsidiaries (‘WeWork’, ‘we’, or ‘us’) text messaging programme (the ‘Programme’). Your participation in the Programme constitutes your express consent to receive recurring text messages (e.g., SMS and MMS) from WeWork at the mobile number you provided, including text messages that may be sent using an automatic telephone dialling system. By providing your mobile phone number and signing up for the Programme, you agree to these Terms, our Terms of Service and our Global Privacy Policy, which are incorporated herein by reference (and can be viewed at the links provided herein). If you do not agree to these terms, you must immediately discontinue your participation in the Programme by following the cancellation instructions below.
PLEASE BE ADVISED THAT THESE TERMS CONTAIN PROVISIONS THAT GOVERN HOW CLAIMS BETWEEN YOU AND WEWORK CAN BE BROUGHT. PLEASE REVIEW THE ARBITRATION TERMS SET FORTH IN SECTION 5 BELOW CAREFULLY, AS IT WILL REQUIRE YOU TO RESOLVE DISPUTES WITH WEWORK ON AN INDIVIDUAL BASIS, NOT AS A CLAIMANT OR CLASS MEMBER IN ANY CLASS, GROUP, OR REPRESENTATIVE ACTION OR PROCEEDING, THROUGH FINAL AND BINDING ARBITRATION.
The Programme may include recurring and non-recurring promotional and personalised marketing text messages related to promotions, products, events, cart reminders, special offers, or other WeWork-related news, as well as other information that we think will be of interest to you. These messages may be recurring as part of a subscription or other service or sent one-time (e.g., response to request to download the WeWork app). WeWork may use an automatic dialling system to send text messages to the mobile phone number associated with your opt-in. Message and data rates may apply. Please contact your mobile provider for pricing plans. Message frequency will vary. WeWork reserves the right to alter the frequency of messages sent at any time, so as to increase or decrease the total number of sent messages. From time to time, WeWork may advertise a short code in connection with the Programme. By sending a text message to that particular short code, you agree to receive alerts and information via text message from WeWork. WeWork reserves the right to change the short code or phone number from which messages are sent and we will notify you when we do so. You do not have to opt-in or agree to opt-in as a condition of any purchase. WeWork may suspend or terminate this Programme or your participation in it at any time with or without notice, including, for example, before you have received any or all messages that you otherwise would have received.< If you need help at any time, text the keyword ‘<HELP>’ to the text message you received. Mobile numbers will not be shared outside of the Programme.
You confirm that you are at least 18 years of age and that you are the account holder for the relevant phone number you provide or that you are the customary user of that number on a family or business plan and that you are authorised to opt-in. You are responsible for notifying us immediately if you change your mobile telephone number. You further consent to the use of an electronic record to document your opt-in. You agree to indemnify WeWork in full for all claims, expenses, and damages related to or caused in whole or in part by your failure to notify WeWork if you change your mobile number, including but not limited to all claims, expenses, and damages related to or arising under the Telephone Consumer Protection Act and state telemarketing laws.
Text the keyword "STOP", "END", "CANCEL", "UNSUBSCRIBE", or "QUIT" to our short code to cancel a subscription or service at any time. After texting "STOP", "END", "CANCEL", "UNSUBSCRIBE", or "QUIT" to our short code you will receive one additional message confirming that your request has been processed. You acknowledge that our text message platform may not recognise and respond to unsubscribe requests that do not include the STOP, END, CANCEL, UNSUBSCRIBE, or QUIT keyword commands and agree that WeWork and its service providers will have no liability for failing to honour such requests. If you unsubscribe from one of our text message programmes, you may continue to receive text messages from WeWork through any other programmes you have joined until you separately unsubscribe from those programmes.
Not all mobile devices or handsets may be supported and our messages may not be deliverable in all areas. WeWork, its service providers, and the mobile providers supported by the programme are not liable for delayed or undelivered messages. Our participating providers include (but are not limited to) AT&T, Sprint, Verizon Wireless, and T-Mobile. Providers are not liable for delayed or undelivered messages to you. If your mobile operator is not participating, you will not receive a reply to your messages. Some operators may not support some services at the prices offered. Prepaid users may not be able to participate; check with your mobile provider.
Governing Law. These Terms and any matters or disputes arising from these Terms or your access to or participation in the Programme shall be interpreted, construed, and governed by the laws of the State of New York, other than such laws that would result in the application of the laws of a jurisdiction other than the State of New York.
Venue; Dispute Resolution. Except that either party may seek equitable or similar relief from any court of competent jurisdiction, any dispute, controversy, or claim arising out of or in relation to these Terms, or at law, or the breach, termination, or invalidity of these Terms, that cannot be settled amicably by agreement of the parties to these Terms shall be finally settled in accordance with the arbitration rules of JAMS then in force, by one or more arbitrators appointed in accordance with said rules. The place of arbitration shall be New York, New York, USA.
Proceedings; Judgment. The proceedings shall be confidential and in English. The award rendered shall be final and binding on both parties. Judgment on the award may be entered in any court of competent jurisdiction. In any action, suit, or proceeding to enforce rights under this Agreement, the prevailing party shall be entitled to recover, in addition to any other relief awarded, the prevailing party’s reasonable attorneys’ fees and other fees, costs, and expenses of every kind in connection with the action, suit, or proceeding, any appeal or petition for review, the collection of any award, or the enforcement of any order, as determined by the arbitrator(s) or court, as applicable. This Agreement shall be interpreted and construed in the English language, which is the language of the official text of this Agreement.
Class Action Waiver. Any proceeding to resolve or litigate any dispute in any forum will be conducted solely on an individual basis. Neither you nor WeWork will seek to have any dispute heard as a class action or in any other proceeding in which either party acts or proposes to act in a representative capacity. No proceeding will be combined with another without the prior written consent of all parties to all affected proceedings. You and WeWork agree not to participate in claims brought in a private attorney general or representative capacity, or any consolidated claims involving another person’s account, if we are a party to the proceeding. You are giving up your right to participate as a class representative or class member on any class claim you may have against us including any right to class arbitration or any consolidation of individual arbitrations.
Enforceability. If the class action waiver in this Section 5 is found to be unenforceable in arbitration or if any part of this Section 5 is found to be invalid or unenforceable, then the entirety of this Section 5 shall be null and void and, in such case, the parties agree that the exclusive jurisdiction and venue of New York, New York, USA shall govern any action arising out of or related to the Agreements, without regard to choice or conflicts of law principles, and you shall not be prevented from bringing proceedings at any time. Further, you and WeWork agree to the jurisdiction of the courts of New York, New York, USA to resolve any dispute, claim, or controversy that arises in connection with these Terms (and any non-contractual disputes/claims arising out of or in connection with them), except where under applicable mandatory laws, you can choose to bring legal proceedings in your country of residence, or we are required to only bring legal proceedings in your country of residence.
