The Mail and Package Services (as defined below) will be provided to Member Company as an ancillary service to the All Access Membership Agreement between Member Company and WeWork (the “Agreement”) in accordance with the following terms and conditions which hereby incorporated into the Agreement. In the event of a conflict between the terms of the Agreement and these terms and conditions, these terms and conditions will govern with respect to the Mail and Package Services only. Capitalized terms not defined herein shall have the meaning ascribed to them in the Agreement.
1.Mail and Package Services. Member Company will be permitted to receive mail and packages at the WeWork home location (the “Home Location”) displayed on Member Company account on the member web portal and/or member app (“Mail and Package Services”) in accordance with these terms and conditions. Member Company hereby agrees that Member Company shall:
a. use the Mail and Package Services for letters that are no more than 6-1/8 inches high x 11-1/2 inches long x 1/4 inch thick (“Mail”) and packages not exceeding 50 lbs or 108 inches in length or width (“Package(s)”) only;
b. use the Mail and Package Services in the normal course of Member Company business and not for personal use. If Member Company is expecting packages valued in excess of $500 US or in excess of the size identified in Section 1(a) herein, Member Company shall be required to inform the Community Team to arrange appropriate receipt and storage. Member Company is required to carry insurance in accordance with section 26 of the Agreement;
c. use the Mail and Package Services at Member Company Home Location. Member Company may be able to change Home Location a maximum of once per six (6) month period, and upon change of Home Location, Member Company shall collect all Mail and Packages within 72 hours of such change;
d. be permitted to designate one (1) Member Company Member to use the Mail and Package Services;
e. collect any and all (i) Mail within sixty (60) days of WeWork’s receipt at the Home Location, and (ii) Package(s) within thirty (30) days of receipt at the Home Location (collectively, the “Collection Period”);
f. pay WeWork a storage fee of $5 plus applicable taxes per Package per day if Mail and/or Packages are not collected within the Collection Period. If Mail and/or Packages remain uncollected for a total period of ninety (90) days from the earlier of (i) receipt of such Mail and/or Package, (ii) termination of the Mail and Package Services, and (iii) termination or expiration of the Agreement, WeWork retains the right to dispose of (including by destruction or otherwise), and/or return to sender any Mail and/or Packages without further notice to Member Company. Member Company shall be responsible for any costs associated with such return or disposal; and
g. not use the address of any WeWork location as Member Company registered business address for the purposes of public company registers.
Member Company hereby acknowledges and agrees that WeWork:
a. will notify Member Company upon receipt of a Package or tracked post, and WeWork will not notify Member Company of receipt of any Mail, and Member Company is solely responsible to monitor receipt of Mail;
b. retains the right in its sole discretion to refuse acceptance of Mail and/or Packages for reasons including, but not limited to, suspected dangerous contents, and/or suspicious contents; and
c. For the avoidance of doubt, the Mail and Package Services include only the receipt of Mail and Packages. WeWork will not send or forward any Mail or Packages.
2. Term. The Mail and Package Services will be provided for a minimum term of one (1) month and shall thereafter continue on a monthly basis until terminated. Either Party may terminate the Mail and Package Services by providing 30 days notice to the other party. Member Company can provide its termination notice by (a) contacting a WeWork sales representative, or (b) submitting a support ticket through the member web portal or member app. WeWork reserves the right to terminate the Mail and Package Services immediately upon Member Company’s failure to comply with the terms of this Agreement. The Mail and Package Services shall automatically terminate upon termination of the All Access Agreement. Member Company shall update its correspondence address immediately upon such termination.
3. Fee. Member Company agrees to pay the fee(s) for the Mail and Package Services to WeWork in accordance with the billing terms and payment schedule set out in the Agreement. WeWork reserves the right to modify the Mail and Package Services fee upon providing 30 (thirty) days’ prior notice to Member Company. If any Mail or Packages are received following termination of the Mail and Package Services, WeWork shall charge Member Company the monthly Mail and Package Services fee for the month in which such Mail and/or Packages are received. Unless required by law, WeWork will not provide any refunds.
4. WEWORK LIABILITY. TO THE EXTENT PERMITTED BY LAW, WEWORK MAKES NO WARRANTY, GUARANTEE, OR REPRESENTATION, EXPRESS OR IMPLIED, WITH REGARD TO MAIL & PACKAGE SERVICES. WEWORK IS NOT RESPONSIBLE OR LIABLE IN ANY WAY FOR ANY DAMAGES (DIRECT, CONSEQUENTIAL, OR OTHERWISE), INJURY, COSTS, EXPENSES, WITH RESPECT TO MAIL AND PACKAGES THAT ARE DAMAGED, DESTROYED, DELAYED, LOST, OR OTHERWISE NOT RECEIVED AS EXPECTED.
