Your WeWork membership may allow you to view, book workspaces in, and utilize services at non-WeWork locations operated by independent third party operators (such spaces, the “Coworking Partner Locations”, operated by “Coworking Partners”, and the services provided by such WeWork Coworking Partners, the “Coworking Partner Services”). These terms (the “Coworking Partner Locations Terms”) apply to and govern Member Company and its Members’ access to the Coworking Partner Locations and use of the Coworking Partner Services. By using the Coworking Partner Services, you are agreeing that (i) you and the Members shall abide by and be bound by these Coworking Partner Locations Terms, and (ii) you acknowledge that Member Company and Members must also comply with the terms, rules, and policies applicable to Coworking Partner Locations listed on the applicable Coworking Partner’s website.
USE OF COWORKING PARTNER LOCATIONS
In addition to the the terms of the Agreement, including the applicable WeWork Membership House Rules, and any other requirements related to the Coworking Partner Locations provided to you in writing, the following terms shall apply to use of the Coworking Partner Locations and the Coworking Partner Services:
Use of the Coworking Partner Services may be subject to fees, depending on your membership type, which fees will be viewable as part of the booking process.
You and your Members shall not make alterations or additions to the Coworking Partner Locations.
If any damage (beyond normal wear and tear) to the Coworking Partner Locations should occur while in your care, custody or control, you agree to pay repair/replacement costs and to notify the Coworking Partner immediately upon discovery of such damage occurring. Member Company is liable for any damage or injury caused by any of your Members or your guests to or at the Coworking Partner Locations.
Any keys or entry cards for a Coworking Partner Location remain the Coworking Partner’s property at all times and no copies can be made without the Coworking Partner’s consent. Any loss of keys or entry cards must be reported to the Coworking Partner immediately, and Member Company must pay the cost of replacement keys or cards and or changing locks, if required by the Coworking Partner.
PRIVACY
For purposes of providing the Coworking Partner Services and as necessary to facilitate your booking at a Coworking Partner Location, WeWork will disclose certain personal data to the Coworking Partners, which act as independent data controllers. Data shared with Coworking Partners will be subject to the Coworking Partner’s own terms of service and privacy policy. WeWork is not responsible for the privacy or data security practices of the Coworking Partners, which may differ from those explained in our Global Privacy Policy. You should refer to the Coworking Partner’s privacy policy and direct any privacy or data security questions directly to them.
REPRESENTATIONS AND WARRANTIES; DISCLAIMER OF WARRANTIES
You acknowledge that WeWork does not itself own or operate any Coworking Partner Locations s, nor does it sell, resell, license, provide, rent, sublet, manage or control any Coworking Partner Locations, and WeWork does not act as an agent or broker for any Coworking Partner or any Member or Member Company. Instead, WeWork’s responsibilities in relation to Coworking Partner Locations are limited to facilitating the availability of the WeWork Member Platform and the Expanded Network Service to allow Members to book at Coworking Partner Locations. WeWork is not party to transactions or communications between Member Company, its Members and Coworking Partners, other than to the limited extent set out in these Coworking Partner Locations Terms. In the event that the invoice for services utilized by the Member Company at the Coworking Partner Location is being provided to Member Company by WeWork, that invoice shall be deemed an invoice issued in the name and on behalf of the Coworking Partner.
TO THE EXTENT PERMITTED BY APPLICABLE LAW, WEWORK MAKES NO REPRESENTATION, WARRANTY OR CONDITION REGARDING THE QUALITY OF THE SPECIFIC SERVICES, PRODUCTS AND AMENITIES IN ANY COWORKING PARTNER LOCATIONS OR LISTINGS. MEMBER COMPANY ACKNOWLEDGES AND AGREES THAT WEWORK DOES NOT HAVE AN OBLIGATION TO CONDUCT BACKGROUND CHECKS ON ANY COWORKING PARTNER.
WEWORK DOES NOT CONTROL AND IS NOT RESPONSIBLE FOR THE ACTIONS OF OTHER INDIVIDUALS THAT MEMBER COMPANY AND/OR THE MEMBERS ENCOUNTER AT COWORKING PARTNER LOCATIONS AND, TO THE EXTENT PERMITTED BY APPLICABLE LAW, DISCLAIMS ALL LIABILITY IN THIS REGARD. WEWORK DOES NOT GUARANTEE THAT COWORKING PARTNERS’ PROFILES OR ACCOUNT INFORMATION ARE ACCURATE. WEWORK DOES NOT ENDORSE, SUPPORT, OR VERIFY THE FACTS, OPINIONS, OR RECOMMENDATIONS OF COWORKING PARTNERS. IF A DISPUTE ARISES BETWEEN MEMBER COMPANY AND COWORKING PARTNER, WEWORK HAS NO RESPONSIBILITY OR OBLIGATION TO PARTICIPATE, MEDIATE, OR INDEMNIFY ANY PARTY.
To the extent permitted by law: (i) WeWork is not liable for any loss, damage or liability arising from or related to Member Company’s and its Members’ use of Coworking Partner Locations; (ii) WeWork is not responsible for, nor does it have control over, Coworking Partner Locations, including but not limited to accuracy, cleanliness, availability of adequate services, safety, and security; and (iii) WeWork is not responsible for, nor does it have control over how your Members engage with each Coworking Partner Location.
Member Company shall indemnify WeWork from and against any and all third-party claims, liabilities, and expenses, including reasonable attorneys’ fees resulting from Member Company’s and Members’ use of Coworking Partner Services and Coworking Partner Locations.
GENERAL
Capitalized terms used but not defined in these Coworking Partner Location Terms shall have the respective meanings assigned to them in your WeWork membership agreement. In the event of any conflict between these Coworking Partner Locations Terms and the terms of your WeWork membership agreement and/or the Membership Details Form, then these Coworking Partner Location Terms shall apply and supersede only in relation to Member Company and Members’ use of the Coworking Partner Services.
